These Offer Network Merchant Terms ("Offer Network Terms") are between PDQ Ecommerce Inc. ("PDQ") and the merchant that accepts them ("you"). They add to the PDQ Terms and Conditions at prettydamnquick.com/terms-and-conditions (the "PDQ Terms"), which continue to apply. If the two conflict on anything to do with Offer Network, these Offer Network Terms take priority. By ticking the box and turning on Offer Network, you agree to these Offer Network Terms, and you confirm that you are authorized to accept them on behalf of the merchant.
Offer Network shows offers from third-party advertisers ("Offers") on your store's thank-you and order status pages, and on any other placement PDQ makes available. The Offers are shown to shoppers in the United States, and in any other country PDQ adds with prior notice. That notice will include any additional privacy terms that apply to the new country. PDQ and its advertising partner(s) choose which Offers appear. If a shopper clicks an Offer, they go to the advertiser's own site. The advertiser, not you or PDQ, is responsible for its offer, product, billing, customer service and refunds. PDQ may change, suspend or discontinue Offer Network at any time.
Revenue share. You earn the revenue share rate shown in your Offer Network settings or otherwise agreed with PDQ in writing. If no rate has been set, it is 50%. The rate applies to the advertising revenue that PDQ's advertising partner actually collects from advertisers for Offers shown on your store ("Net Revenue"). Net Revenue is calculated after deducting taxes, refunds, chargebacks, cancellations and invalid or fraudulent activity.
Payment. PDQ pays your share for each calendar month within 60 days after the end of that month. Any revenue not yet collected from advertisers by then is paid in a later payment once collected. Your share is paid by PDQ, and any payment questions or disputes go to PDQ, not to the advertising partner or any advertiser. Earnings are calculated from the advertising partner's reporting, which is final unless there is an obvious error. PDQ may deduct later reversals, and any overpayment, from future payments. You must provide payment and tax details (for example, a W-9), and you are responsible for your own taxes.
Invoicing. PDQ will issue the invoice for your share on your behalf, unless PDQ notifies you that you must submit your own invoice. You authorize PDQ to issue such invoices on your behalf.
Offset. PDQ may apply your share against any fees or other amounts you owe PDQ, and pay you any remaining balance. You may not withhold or reduce any fees you owe PDQ on account of expected or unpaid Offer Network earnings.
No guarantee. Earnings depend on advertiser demand and shopper behavior. PDQ does not guarantee any Offers or earnings. PDQ may change your rate with 30 days’ notice, unless your written agreement with PDQ says otherwise.
To show Offers, PDQ shares the following data from each eligible order with its advertising partner: hashed (SHA-256) email, first name, billing ZIP code, order ID, order total and currency, shipping fee, IP address, browser/device information, time-zone offset, and your store's domain and category. PDQ never shares payment details, last or full names, shipping addresses, phone numbers or the items purchased. The advertising partner uses this data only to serve, measure and optimize Offers and to prevent fraud, and PDQ's contract with the partner prohibits it from reselling the data.
PDQ does not show Offers to, or share data about, shoppers who have opted out of the sale or sharing of their personal information, based on the opt-out information made available to PDQ through Shopify or other means.
PDQ treats this sharing as a "sale" or "sharing" of personal information under US state privacy laws, including the CCPA/CPRA. You are responsible, as the business that collects the data, for: (a) disclosing it in your public privacy policy; (b) giving shoppers any required notices and an opt-out (such as a "Do Not Sell or Share My Personal Information" link); (c) honoring shopper opt-outs and Global Privacy Control signals as required by law; (d) making sure your store is not directed to children under 13; and (e) promptly helping PDQ and its advertising partner respond to shopper requests to access, correct or delete their personal information, or to opt out, and forwarding to PDQ any such request you receive that relates to Offer Network. Any information a shopper gives an advertiser after clicking an Offer is governed by that advertiser's own privacy policy.
Store information. You allow PDQ to share information about your store with its advertising partner to set up and improve Offer Network. This includes your domain and brand names, store category, estimated order volume and seasonality, aggregated shopper profile (such as age and gender mix, average order value and device mix), the placements you use, and your advertiser exclusions. The advertising partner must keep this information confidential. PDQ will not let the partner use your store's name in its marketing without your separate permission.
While Offer Network is on, you agree to: (a) on the thank-you page, keep the Offers block above the fold and within the first two blocks, with no competing ad unit above or next to it, unless PDQ has approved a different placement in writing (to request one, contact your PDQ Customer Success Manager or support@prettydamnquick.com), and PDQ recommends the same positioning on the order status page and any other page where Offer Network is enabled; (b) not run other third-party ad or offer networks on those pages, and confirm that no other agreement (for example, an exclusive deal with another post-purchase ad provider) prevents you from using Offer Network; (c) not hide, edit or interfere with Offers, their disclaimers or their tracking (styling through PDQ's settings is allowed); (d) allow Offers from the subscription, loyalty, gaming and cash-back categories; (e) not click Offers yourself, reward or encourage shoppers to engage with Offers other than out of genuine interest, or generate artificial traffic (f) tell PDQ promptly if your store starts selling or featuring adult or sexual content, firearms or weapons, alcohol, tobacco, illegal drugs or gambling, or other content that could expose advertisers to negative publicity, in which case PDQ or its advertising partner may pause Offer Network for your store; and (g) comply with all applicable laws. If you don't meet these commitments, PDQ may pause Offer Network for your store and withhold any earnings from invalid activity.
You can ask PDQ to exclude specific advertisers (for example, your competitors) or advertiser categories by contacting your PDQ Customer Success Manager or support@prettydamnquick.com. PDQ will use reasonable efforts to arrange this with its advertising partner, but cannot guarantee it. Exclusions may reduce your earnings, and the required categories in Section 4(d) cannot be blocked entirely. If you think an Offer is inappropriate, tell PDQ and PDQ will have it reviewed and, where appropriate, removed.
You can turn Offer Network off at any time, either in your PDQ settings or by contacting your PDQ Customer Success Manager or support@prettydamnquick.com. When it is off, Offers stop showing and data sharing stops. PDQ will still pay your share of Net Revenue from Offers shown before it was turned off, on the normal schedule. PDQ may update these Offer Network Terms. Each version is dated, and previous versions are available on request. If PDQ makes a material change, PDQ will ask you to review and accept the new version in the app, and PDQ reserves the right to disable Offer Network for your store until you do.
Offer Network is provided "as is", without warranties of any kind. PDQ's total liability related to Offer Network is limited to the greater of (a) the revenue share paid to you in the previous 12 months and (b) US$500, except in the case of PDQ's fraud or willful misconduct. PDQ is not liable for any indirect or consequential damages, or for lost profits. You will indemnify PDQ and its advertising partners against claims arising from your breach of these Offer Network Terms, your store, or your failure to comply with privacy or other laws. The limit on liability above does not apply to that indemnity. Your revenue share rate, earnings reports and the identity of PDQ's advertising partners are PDQ confidential information. In all other respects, the PDQ Terms (including their governing-law, notice and confidentiality provisions) apply.
